1. Overview

This website (the “Site”) is operated by Boutique Serica, an individual enterprise registered in Québec, Canada, operating under the trade name Serica Paris (“Serica Paris”, “we”, “us”, “our”). The Site, including all information, content, features, tools, products and services made available through it (collectively, the “Services”), is hosted on Shopify Inc. (“Shopify”).

By visiting, browsing, interacting with, or purchasing from the Services, you agree to be bound by these Terms of Service (the “Terms”) and all policies referenced herein, including our Privacy Policy, Return & Refund Policy, and Shipping Policy (collectively, the “Policies”). If you do not agree, you must not access or use the Services.

Important notice: These Terms include provisions that limit our liability and, for U.S. customers, require binding arbitration and include a class action waiver. Please read carefully.

2. Eligibility; lawful use

You represent and warrant that you are at least the age of majority in your jurisdiction to make purchases and enter into a binding contract. If you are the age of majority and allow a minor to use your device or account, you are responsible for that minor’s activity.

You agree not to use the Services for any unlawful purpose, including but not limited to:

  • engaging in fraudulent transactions or chargeback abuse;
  • submitting false claims or misrepresentations;
  • interfering with the security or operation of the Services;
  • using bots, scrapers, or automated tools to access the Services or extract content;
  • transmitting malware or malicious code; or
  • violating any applicable local, national, or international laws or regulations.

We may suspend or terminate access, cancel orders, and/or restrict future purchases if we believe you have violated these Terms.

3. Account information and accuracy

You may be required to provide information such as your name, email, billing, payment, and shipping details. You agree to provide current, complete, and accurate information and to promptly update it when necessary.

You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. We are not responsible for losses arising from unauthorized access caused by your failure to secure your credentials.

4. Products; descriptions; availability

We strive to display products accurately, but you acknowledge that:

  • colors and appearance may vary due to device settings and lighting;
  • product photos may be illustrative;
  • product descriptions may contain typographical errors; and
  • product availability may change without notice.

We reserve the right at any time to:

  • modify product descriptions, images, or specifications;
  • adjust pricing;
  • limit quantities by person, household, geographic region, or jurisdiction;
  • discontinue any product; and/or
  • refuse service to anyone for any lawful reason.

Natural materials disclaimer

Our products may include natural fibers (including silk). Variations in texture, sheen, or appearance may occur and do not necessarily indicate a defect.

5. Orders; acceptance; cancellations

Placing an order constitutes an offer to purchase. Orders are considered accepted only when we process and dispatchyour order and/or provide a shipping confirmation.

We reserve the right to refuse, limit, cancel, or reverse any order, including for:

  • suspected fraud or unauthorized payment activity;
  • chargeback or dispute history;
  • incomplete or inaccurate customer information;
  • abnormal ordering patterns suggesting resale, abuse, or automation;
  • product unavailability; or
  • pricing or technical errors.

If an order is cancelled after payment, we will issue a refund to the original payment method, unless prohibited by law or otherwise stated in our Policies.

Order modifications

Requests to change address or order details must be made promptly. We do not guarantee that changes can be made once processing begins. If we cannot accommodate changes, you may be required to follow the return process under our Return & Refund Policy once you receive the item.

6. Pricing; taxes; promotions

Prices are shown on the Site and may change without notice. The price charged is the price displayed at checkout at the time the order is placed.

Unless otherwise stated, prices may exclude applicable taxes. Promotions, discount codes, and special offers may be subject to additional terms and may be modified or withdrawn at any time.

7. Payment; billing; chargebacks

Payments are processed securely through Shopify Payments and/or its integrated payment providers. We do not store complete payment card details.

You agree that:

  • you are authorized to use the payment method provided;
  • all billing information is accurate; and
  • you will pay all charges incurred, including applicable taxes and shipping (if any).

Chargeback and dispute policy (anti-fraud)

If you believe there is an issue with your order, you agree to contact us first at support@sericaparis.com and provide a reasonable opportunity to resolve it. Initiating a payment dispute or chargeback without first contacting us may be considered a breach of these Terms.

Where a dispute or chargeback is initiated, you authorize us to provide relevant order, shipping, tracking, communications, and policy documentation to the payment processor or financial institution to contest the dispute.

8. Shipping; delivery; risk of loss

Shipping and delivery terms are governed by our Shipping Policy, which is incorporated into these Terms by reference.

Delivery timeframes are estimates and are not guaranteed. Delays may occur due to carriers, customs processing, weather, peak seasons, supply chain disruptions, or events outside our control.

Transfer of risk; delivery confirmation

To the maximum extent permitted by law, risk of loss and title pass to you upon delivery to the address provided at checkout, as confirmed by carrier tracking or delivery confirmation. You are responsible for ensuring the shipping address is accurate and secure.

If tracking shows “delivered” but you claim non-receipt, you agree to first contact the carrier to open an investigation and to cooperate with any required documentation. We will handle the matter in accordance with our Shipping Policy.

9. Returns; refunds

All returns and refunds are governed exclusively by our Return & Refund Policy, incorporated by reference. We reserve the right to refuse returns that do not meet eligibility requirements.

10. Prohibited resale and export

Our products are intended for personal or household use unless expressly authorized in writing. We may limit or cancel orders that appear intended for commercial resale, unauthorized distribution, or export.

11. Intellectual property

All content on the Services—including trademarks, logos, product names, designs, images, text, graphics, layout, and software—is owned by or licensed to Serica Paris and is protected by intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or exploit any part of the Services for commercial purposes without our prior written consent.

12. User content; reviews; feedback

If you submit reviews, comments, photos, videos, or other content (“User Content”), you grant Serica Paris a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display such User Content in any media for lawful business purposes (including marketing).

You represent and warrant that:

  • you own or have all necessary rights to grant this license;
  • your User Content does not infringe third-party rights; and
  • your User Content is not unlawful, defamatory, or misleading.

We may remove User Content at our discretion.

13. Third-party services; links; Shopify relationship

The Services may include links or access to third-party websites, tools, or services. Your use of third-party services is at your own risk and subject to their terms and privacy practices.

Shopify relationship: The Services are hosted by Shopify; however, all sales are made directly between you and Serica Paris. Shopify is not responsible for any aspect of any sales transaction between you and Serica Paris. To the extent permitted by law, you release Shopify and its affiliates from claims arising out of purchases made through the Services.

14. Privacy; data transfers

Our collection and use of personal information is described in our Privacy Policy, which includes disclosures about analytics and advertising technologies (including Meta Pixel) and cross-border data transfers.

We may process and store data in Canada, the United States, and other countries where we or our service providers operate.

15. No medical or professional advice; product use

Our products are accessories and are not medical devices. Information on the Site is for general informational purposes only and is not medical advice.

No medical claims: To the maximum extent permitted by law, our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

You are responsible for proper use and care of products in accordance with any included instructions.

16. Disclaimer of warranties

To the fullest extent permitted by law, the Services and all products are provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

We do not warrant that:

  • the Services will be uninterrupted, timely, secure, or error-free;
  • defects will be corrected; or
  • the Services or servers are free of viruses or other harmful components.

Nothing in these Terms excludes mandatory consumer protections that cannot be waived under applicable law.

17. Limitation of liability

To the maximum extent permitted by law, Serica Paris (including its owner, agents, contractors, and service providers) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or use, arising out of or related to the Services or products.

To the maximum extent permitted by law, our total liability for any claim shall not exceed the greater of:

  • the amount you paid for the product(s) giving rise to the claim; or
  • CAD $100.

This limitation does not apply to liability that cannot be limited under applicable law.

18. Indemnification

You agree to indemnify and hold harmless Serica Paris (Boutique Serica), its owner, agents, contractors, and service providers from any claim, demand, loss, liability, damages, and expenses (including reasonable legal fees) arising out of or related to:

  • your breach of these Terms or Policies;
  • your misuse of the Services;
  • your violation of law; or
  • your infringement of third-party rights.

19. Fraud prevention; right to refuse service

We may monitor transactions for fraud, abuse, or policy violations. We reserve the right to:

  • cancel suspicious orders;
  • limit quantities;
  • require additional verification;
  • refuse future service; and/or
  • restrict access to the Services.

Where permitted by law, we may use fraud prevention tools and signals (including device and network identifiers) to detect and prevent abuse. This may include restricting purchases associated with suspicious email addresses, payment methods, or internet protocol (IP) addresses.

20. Force majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, carrier disruptions, customs delays, government actions, labor disputes, supply chain interruptions, cyberattacks, or infrastructure outages.

21. Governing law (Canada / Québec) and mandatory consumer rights

Except as provided in Section 22 for eligible U.S. customers, these Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Québec consumer protection: Nothing in these Terms limits your rights under the Québec Consumer Protection Act or other mandatory consumer protection laws that apply in your jurisdiction.

22. U.S. dispute resolution: binding arbitration and class action waiver (U.S. customers)

This Section applies only to customers who reside in the United States or who purchase for delivery in the United States, to the extent permitted by law.

22.1 Informal resolution first

Before starting arbitration, you agree to contact us at support@sericaparis.com with a description of the issue and allow us 30 days to attempt to resolve it informally.

22.2 Binding individual arbitration

If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or products shall be resolved by binding arbitration on an individual basis, and not in court.

The arbitration shall be administered by the American Arbitration Association (AAA) under its applicable rules. The arbitrator shall have authority to award any relief that a court could award on an individual basis.

22.3 Class action waiver

You and Serica Paris agree that each may bring claims against the other only in an individual capacityand not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

22.4 Jury trial waiver

To the extent permitted by law, you and Serica Paris waive any right to a jury trial.

22.5 Arbitration location and costs

Unless you and we agree otherwise, arbitration may take place by video conference, telephone, written submissions, or in the U.S. county (or parish) where you reside. Each party will bear its own attorneys’ fees and costs, unless applicable law or arbitration rules provide otherwise.

22.6 Exceptions

Either party may seek relief in small claims court for disputes within that court’s jurisdiction, provided the claim is brought on an individual basis and not as part of a class action.

23. California notice (privacy)

California residents may have specific rights regarding personal information under the California Consumer Privacy Act (CCPA) and related laws. Please refer to our Privacy Policy for details on California-specific rights and how to exercise them.

24. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

25. Entire agreement

These Terms and the Policies constitute the entire agreement between you and Serica Paris regarding your use of the Services and supersede any prior agreements or communications.

26. Changes to these Terms

We may update these Terms at any time. The “Last updated” date will be revised accordingly. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
